1. What this covers
These terms are between you and [legal entity name] and cover the Nebulai operator command, container images and related materials that you download and run on computers you control.
The hosted account service that issues your entitlement is covered by the Terms of Service. You accept these terms when you install or run the software.
2. Licence
While your entitlement is active, we grant you a non-exclusive, non-transferable, revocable licence to install and run the software for your own internal business purposes, within the seat count and installation limits of your plan.
Evaluation is licensed for assessment rather than production use. Team is licensed for production use on the terms we agree with you in writing.
We reserve every right not expressly granted. This is a licence to use the software, not a sale of it.
3. Entitlements and seats
Your installation holds a signed entitlement issued to it by the account service, which it renews periodically in the background. The signature is what proves the entitlement is genuine.
Your installation reports its assigned seat count as a number so that it can be checked against your plan. It does not report who those users are.
Because the entitlement remains valid until it expires, your installation keeps working through short periods when it cannot reach the account service.
4. What you may not do
- Circumvent, disable or tamper with the entitlement, licence-signature or device-approval mechanisms, or run the software without a valid entitlement.
- Reverse engineer, decompile or disassemble the software, except to the extent the law expressly permits despite this restriction.
- Remove or obscure copyright, licence or attribution notices.
- Redistribute, resell, sublicense, rent or host the software as a service for a third party.
- Share your entitlement with, or run installations for, another organisation.
- Publish benchmark or evaluation results about the software without our written consent.
5. Verifying what you install
We publish signed releases. The installer script, the operator executables and the release public key each have a published SHA-256 checksum, and container images are pinned by digest.
You are responsible for verifying the installer's checksum against the value published on our website before running it, and for obtaining the software only from our published locations. We are not responsible for a copy of the software obtained from anywhere else, or for one that fails verification and is run anyway.
6. Updates and supported versions
We may publish new versions, including security fixes. You choose when to apply them; the software does not update itself without your action.
We support the current release and, for Team, the previous minor release. Running an unsupported version is at your own risk, and a release may set a minimum supported version below which it will refuse to activate.
7. Your responsibilities
Because the software runs on your infrastructure, some things are unavoidably yours to do.
- Provide and secure the host, its operating system, its network and its storage. Team requires encrypted persistent storage.
- Protect the GitHub App credentials, private keys, webhook secrets and access tokens your installation holds.
- Decide who may access the installation and remove access when people leave.
- Take and test your own backups. We have no copy of your data and cannot restore it.
- Make sure you have the right to index the repositories you connect, and meet your own obligations to the people whose data they contain.
8. Your data stays yours
Your repositories, indexes, queries, answers and discoveries live in your installation. We claim no rights over them and have no access to them.
The software can send your repository contents to a model provider you configure. That relationship is between you and that provider, on their terms.
The only information your installation sends us is its version, its seat count, and five boolean health flags. This is described in full in the Privacy Notice.
9. Third-party components
The software includes open-source components licensed by their own authors under their own terms, which continue to apply and, where they conflict with these terms, prevail for that component.
We publish a software bill of materials with each release so that you can review the components and their licences.
10. Support
Evaluation is provided without a support commitment. For Team, support is provided on the terms we agree with you in writing.
Contact [support email] for support. Do not send private keys, access tokens or repository contents when reporting a problem; the diagnostic commands are designed to give us what we need without them.
11. Expiry and termination
This licence lasts as long as your entitlement. It ends when your entitlement expires or is revoked, when the agreement between us ends, or if you materially breach these terms and do not fix the breach within 30 days of our notice.
When the licence ends you must stop using the software and remove it from your systems.
Expiry does not destroy your data. The software does not delete your database, wipe your indexes or render your backups unreadable when an entitlement lapses; it stops operating under the licence. Your data remains on your infrastructure for you to export, retain or delete as you choose.
12. Warranties and liability
The software analyses code using automated systems, including language models, and its output can be incomplete or wrong. It supports your judgement and does not replace your own review of your code and your security decisions.
To the extent the law allows, the software is provided as is, without warranties of any kind. We do not warrant that it will be uninterrupted or error free, or that it will find every defect or risk in your code.
The limitations and exclusions of liability in section 10 of the Terms of Service apply to these terms as though set out here, and the two documents together are subject to a single aggregate cap.
13. General
These terms are governed by [governing law], and the parties submit to the exclusive jurisdiction of [courts with jurisdiction].
We may publish a new version of these terms for future releases. The version you accepted for a release continues to apply to that release until you install a later one.
