1. Who we are and what these terms cover
Nebulai is provided by [legal entity name], registered at [registered office address] (registration number [company registration number]). In these terms "we", "us" and "Nebulai" mean that company, and "you" means the person or organisation using the service.
These terms cover the hosted Nebulai account service: creating an account, creating an organisation, approving an installation, and receiving the entitlement that activates the software. They do not cover the software you install on your own computers.
The software you run on your own infrastructure is licensed separately under the Self-hosted Software Terms. Both documents apply to a customer who installs Nebulai, and where they conflict on a question about the installed software, the Self-hosted Software Terms take precedence.
2. Accounts and organisations
You create an account by signing in with GitHub. You must be at least 18 years old and able to enter a contract. If you create an organisation on behalf of a company, you confirm that you are authorised to accept these terms for it.
An organisation holds the entitlement that activates your installations. The account that creates an organisation becomes its owner and may invite other accounts as administrators or members.
- Keep your GitHub account secure; anyone who can sign in as you can act as you.
- You are responsible for what the accounts in your organisation do.
- Tell us promptly if you believe an account or installation has been compromised.
- Do not share, resell or transfer an entitlement outside your organisation.
3. Evaluation
Evaluation lets you run Nebulai privately on a single computer so that you can assess it. The seat limit, repository limit and length of the Evaluation period are published in your account at sign-up and may change for future sign-ups.
The Evaluation period begins when your first installation activates, not when you create your account. Evaluation is provided free of charge, for assessment rather than production use, and may allow an explicit unencrypted-storage override that is not permitted for Team.
We may end, shorten or withdraw an Evaluation at any time. When an Evaluation ends, the installed software stops issuing new entitlements, but we do not reach into your installation and we do not delete the data held there.
4. Team entitlements
Team is not sold through self-serve checkout. We agree the seat count, the entitlement end date, and the renewal and cancellation process with you in writing before your organisation is activated. No payment details are collected through the installation flow.
Once agreed, an authorised operator activates Team for your organisation using the organisation ID you confirm to us. The commercial terms we agree in writing govern price, invoicing, renewal and cancellation, and prevail over anything implied by the product interface.
Seats are counted by your installation and reported to us as a number. If you exceed the agreed seat count, we will contact you to adjust the entitlement rather than disabling your installation without notice.
5. Acceptable use
You may not use the account service to do any of the following.
- Break the law, infringe someone's rights, or process data you have no right to process.
- Attempt to defeat the entitlement, licence-signature or device-approval mechanisms.
- Interfere with the service's availability, probe it for vulnerabilities without our written permission, or use it to attack anyone else.
- Impersonate another person or organisation, or approve an installation you do not control.
- Resell, sublicense or provide the service to a third party as a hosted offering.
If you believe you have found a security vulnerability, report it to [security email] rather than testing it against other customers. We will not pursue good-faith research reported to us privately.
6. Availability and changes
We aim to keep the account service available, but it is provided without an uptime commitment unless we have agreed a separate written service level with you. We may perform maintenance, change features, and release new versions.
An important property of the design is that your installation keeps working through short account-service outages: it holds a signed entitlement that remains valid until it expires, and renews it in the background.
If we make a change that materially reduces the service for a paying Team customer during an agreed entitlement period, we will tell you, and you may cancel the remainder of that period and receive a pro-rata refund of fees paid for it.
7. Suspension and termination
You may stop using the service at any time and ask us to close your account. We may suspend or terminate an account, an organisation or an installation if you materially breach these terms, if we must do so by law, or if an account is being used to harm the service or another customer.
Except where the law or an urgent security risk requires immediate action, we will give you notice and a reasonable chance to put the problem right before suspending a paying Team organisation.
Termination stops new entitlements being issued. It does not delete the data inside your own installation, which remains on your infrastructure and under your control.
8. Intellectual property
We own the Nebulai service, software, documentation and brand, apart from third-party components distributed under their own licences. These terms grant you the right to use the account service, and no other rights.
You own your repositories, your project data and everything your installation derives from them. We claim no rights over them, and the account service is built so that it does not receive them.
If you send us feedback or suggestions, we may use them to improve Nebulai without obligation to you.
9. Disclaimers
Nebulai summarises and retrieves information from your repositories using automated systems, including language models. Its output can be incomplete or wrong. It supports human judgement and does not replace your own review of your code, your security decisions or your legal obligations.
Except as expressly stated in these terms, and to the extent the law allows, the service is provided as is, without warranties of any kind, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Nothing in these terms limits rights you have as a consumer that cannot be limited by contract.
10. Limitation of liability
Neither party limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, we are not liable for lost profits, lost revenue, lost or corrupted data, business interruption, or indirect or consequential loss, whether or not we were told such loss was possible.
Subject to the paragraphs above, our total liability arising out of or in connection with these terms in any twelve-month period is limited to the greater of the fees you paid us for the account service in that period and one hundred pounds sterling.
You keep your own backups. Because your project data lives on your infrastructure rather than ours, we cannot restore it for you.
11. Changes to these terms
We may publish a new version of these terms. Each version has its own identifier and stays available at its own permanent address, so you can always see what you accepted and when.
We record the version you accepted at sign-up. For changes that materially affect a paying Team customer, we will give at least 30 days' notice before the new version applies to that organisation's current entitlement period.
12. General
These terms are governed by [governing law], and the parties submit to the exclusive jurisdiction of [courts with jurisdiction].
If a provision is found to be unenforceable, the rest continues to apply. A delay in enforcing a right is not a waiver of it. You may not assign these terms without our written consent; we may assign them to a successor to our business.
These terms, the Self-hosted Software Terms, the Privacy Notice and any written commercial terms we agree with you are the entire agreement between us on their subject matter.
